Terms of Service

The terms and conditions governing our consulting services.

Welcome to Strategic Workflows. These Terms of Service (“Terms”) govern your access to and use of our website, consulting services, and deliverables (collectively, the “Services”). By engaging our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By signing up for, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Services, including clients, visitors, and others who access the Services.

2. Description of Services

Strategic Workflows LLC provides process improvement and automation consulting services, including:

  • Business process mapping and analysis
  • Process improvement and redesign
  • Automation implementation
  • Standard operating procedure (SOP) documentation
  • Ongoing process optimization and maintenance
  • Custom automation consulting

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Engagement Structure and Payment

4.1 Service Engagements

Our services are delivered through several engagement types:

  • Free Process Fix: A complimentary initial engagement scoped to one process, one trigger, one outcome. Includes 30 days of post-delivery support.
  • Project-Based Work: Individual process improvement and automation projects scoped and priced during discovery calls.
  • Monthly Retainer: Ongoing engagements providing continuous improvement, maintenance, and new automation development.

4.2 Payment Terms

  • Project-based work is invoiced upon agreement of scope, with payment due before or upon delivery as agreed
  • Monthly retainers are billed in advance on the anniversary date of the engagement
  • All fees are in U.S. dollars unless otherwise specified
  • Late payments may result in service suspension

4.3 Ongoing Costs

Certain automations incur ongoing third-party hosting and API costs. These costs are the responsibility of the client and are set up on client-owned accounts. Estimated costs are communicated during the scoping process.

5. Service Delivery

All engagements are delivered remotely via video call and digital collaboration. Delivery timelines are estimated during scoping and depend on:

  • Timely provision of required information and system access from the client
  • Scheduling availability for discovery and walkthrough calls
  • Scope remaining within agreed parameters

Delays caused by client unavailability or failure to provide required materials or access will extend delivery timelines accordingly.

6. Client Responsibilities

To receive our Services, you agree to:

  • Participate in scheduled discovery and walkthrough calls
  • Provide timely access to relevant business systems as needed for the engagement
  • Designate a point of contact who can test, confirm, and approve deliverables
  • Provide accurate and complete information about your business processes
  • Maintain the security of any credentials shared for the purpose of the engagement

7. Cancellation and Termination

7.1 Monthly Retainers

  • Either party may cancel with 30 days’ written notice
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months
  • Upon cancellation, all automations, documentation, and deliverables remain with the client

7.2 Termination by Us

We may suspend or terminate services if:

  • You violate these Terms
  • Payment is not received within 15 days of the due date
  • You engage in fraudulent or illegal activity

8. Intellectual Property Rights

8.1 Our Intellectual Property

Strategic Workflows retains all rights, title, and interest in:

  • Our proprietary methodologies, processes, and frameworks
  • Template systems and reusable automation components
  • Our brand, trademarks, and trade dress

8.2 Your Intellectual Property

You retain ownership of:

  • Your business name, trademarks, and branding
  • Content and data you provide
  • Business-specific information and processes

8.3 Work Product Ownership

Upon full payment for any engagement, you receive full ownership of all custom automations, process maps, SOP documents, and other deliverables created specifically for your business. You own everything we build for you. Our reusable internal templates and frameworks remain our property.

9. Client Data and System Access

When providing our services, we may require access to client business systems. We commit to:

  • Building all automations on client-owned infrastructure and accounts
  • Not storing, copying, or retaining client business data on our systems
  • Limiting access to only the systems necessary for the engagement
  • Using client data solely for the purpose of delivering agreed-upon services
  • Operating with full transparency — no black boxes

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

Our Services are provided “AS IS” and “AS AVAILABLE.” While we deliver high-quality process improvement and automation work, we do not guarantee that:

  • Automations will be uninterrupted or error-free at all times
  • Any specific business results, revenue increases, or time savings will be achieved
  • Third-party platforms and integrations will remain unchanged or available

10.2 Third-Party Services

Our automations may integrate with third-party services (CRMs, email platforms, scheduling tools, etc.). We are not responsible for changes to third-party pricing, terms, features, or availability.

10.3 Limitation of Liability

To the maximum extent permitted by law, Strategic Workflows LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Strategic Workflows LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our Services, your violation of these Terms, or your violation of any rights of another party.

12. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship, including business strategies, processes, financial information, customer data, and technical implementations. This obligation survives the termination of our agreement.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or our Services shall be resolved through:

  • Good Faith Negotiation: Both parties agree to attempt to resolve disputes through direct discussion first.
  • Mediation: If negotiation fails, disputes shall be submitted to mediation before pursuing litigation.
  • Venue: Any legal action shall be brought exclusively in the state or federal courts located in Dallas County, Texas.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with Strategic Workflows LLC, constitute the entire agreement between you and us regarding your use of our Services.
